On the one hand, Mr/Mrs. Mr./Mrs. [______] with ID [______], in the name and on behalf of the company Chatty Insights, S.L., with registered office at Carrer de Picalquers 1 - 08001 Barcelona (Spain) and VAT nºB56168065, (hereinafter, the "PROCESSOR").

On the other hand, Mr/Mrs. [______] with ID [], in the name and on behalf of the company [], with registered office [], and holder of tax identification number [], (hereinafter, the “SUB-PROCESSOR”.)

The PROCESSOR and the SUB-PROCESSOR are hereinafter jointly referred to as the “Parties” and individually as the “Party”.

The Parties declare that they have sufficient legal capacity to enter into this CONTRACT FOR THE SUB-PROCESSING OF PERSONAL DATA (hereinafter, the “Contract”) and to this effect,

1. ****That the PROCESSOR is a is a company dedicated to conducting autonomous qualitative research for customer-centric companies, and its mission is to help founders and product managers understand the people they serve.
2. ****That the SUB-PROCESSOR is specialized on the provision of services of [________].

• ****That the PROCESSOR, in order to provide the services to its clients (the “DATA CONTROLLERS”), may require the collaboration of the SUB-PROCESSOR to provide its services (the “Services”).

1. ****That, by virtue of the mentioned provision of services, the SUB-PROCESSOR may have access to personal data of the DATA CONTROLLERS, for which it shall act in the capacity of sub-processor.
2. ****That in accordance with the foregoing and in order to comply with the provisions of the applicable regulations on the protection of personal data, the Parties agree to enter into this Contract, which shall be governed by the provisions of the data protection regulations, and especially by the provisions of the following:

CLAUSES

FIRST. – DEFINITIONS

1. ****Subject Matter of the Contract: Has the meaning given in Clause 2 of this Contract.
2. ****Commencement Date: means the date of signature of this Agreement.
3. ****Controller: means the natural or legal person, public authority, service or other body which alone or jointly with others determines the purposes and means of the processing; if Union or Member State law determines the purposes and means of the processing, the controller or the specific criteria for its appointment may be laid down by Union or Member State law.
4. ****Processor: means the natural or legal person, public authority, service or other body which has access on an ad hoc basis to data for which the Controller is responsible, and which does not decide on the purpose of the processing.
